Allgemeine Geschäftsbedingungen

1. Geltungsbereich 
Die nachstehenden Allgemeinen Geschäftsbedingungen gelten für sämtliche, auch zukünftige, Verträge, Lieferungen und sonstige Leistungen, soweit nicht die Auftragsbestätigung oder eine schriftliche Vereinbarung mit dem Kunden etwas anderes bestimmt. Der Kunde erkennt diese Allgemeinen Geschäftsbedingungen durch Auftragserteilung an. Dies gilt auch wenn die D&W GbR anderslautenden Geschäftsbedingungen des Kunden nicht ausdrücklich widerspricht. Nebenabreden, Änderungen und Ergänzungen bedürfen in jedem Fall der schriftl. Bestätigung durch die D&W GbR. 


2. Auftragsbestätigung und Angebote
Die Angebote von der D&W GbR sind freibleibend. Ein Vertrag kommt erst durch schriftl. Auftragsbestätigung, spätestens jedoch durch Annahme der Lieferung zustande. 


3. Liefertermine
Liefertermine und - fristen ergeben sich aus der Auftragsbestätigung. Sie sind unverbindlich, wenn die D&W GbR sie nicht ausdrücklich und schriftlich als bindend zugesagt hat. Kann ein Liefertermin nicht eingehalten werden, so bewirkt dies noch nicht ohne weiteres das Recht des Käufers wegen Überschreitung des Liefertermins vom Vertrag zurückzutreten, vielmehr sind Mahnungen, Setzung einer angemessen Nachfrist und Ablehnungsandrohung erforderlich. 


4. Preise
Alle Preise werden nach der bei Auftragsbestätigung jeweils gültigen Preisliste von der D&W GbR berechnet. Sie verstehen sich netto zuzüglich Mehrwertsteuer. Sie schließen zusätzliche, vom Kunden gewünschte Sonderverpackung oder Liefermodalitäten nicht ein. Vereinbarte Preise sind nur bindend, wenn Lieferung oder Leistung durch die D&W GbR innerhalb von 8 Wochen nach Auftragsbestätigung zu erfolgen hat, andernfalls gelten die bei Lieferung oder Leistung gültigen Listenpreise von der D&W GbR. 


5. Zahlungsbedingungen 
Es gelten die bei Auftragsbestätigung vereinbarten bzw. die auf der Rechnung vermerkten Zahlungsbedingungen. Gerät der Kunde in Verzug, hat er Verzugszinsen in Höhe von 4% über dem jeweiligen Diskontsatz der Deutschen Bundesbank zu zahlen. Nimmt die D&W GbR zum Zeitpunkt der Lieferung einen Kontokorrentkredit in Anspruch, so erhöhen sich die Verzugszinsen um die Höhe des Zinssatzes des Kontokorrentkredites. Die Geltendmachung weiterer Schadensersatzansprüche bleibt vorbehalten. Alle Forderungen von der D&W GbR werden sofort zu Zahlung fällig, wenn die Zahlungsbedingungen ohne rechtfertigenden Grund nicht eingehalten werden. Die D&W GbR ist dann auch berechtigt noch ausstehende Lieferungen und Leistungen nur gegen Vorauszahlung oder Sicherheitsleistungen auszuführen. Sind Vorauszahlungen oder Sicherheitsleistungen auch nach Ablauf einer angemessenen Nachfrist nicht erbracht, ist die D&W GbR berechtigt, von dem Vertrag ganz oder teilweise zurückzutreten. Die D&W GbR behält sich für diesen Fall die Geltendmachung von Schadenersatzansprüchen für den unnötig entstandenen Aufwand, den entgangenen Gewinn, sowie weiteren Schadenersatzansprüchen ausdrücklich vor. 


6. Gefahrenübergang
Die Gefahr für die Produkte geht mit deren Übergabe an die Spedition oder an den Transporteur auf den Kunden über. Dies gilt auch bei Vereinbarung frachtfreier Versendungen und bei Rücksendungen nach Mängelbeseitigung oder Reparatur. 


7. Eigentumsvorbehalt 
Die D&W GbR behält sich das Eigentum an den von ihm gelieferten Produkten bis zur vollständigen Bezahlung aller seiner jetzt oder künftig gegen den Kunden zustehenden Ansprüche vor. 


8. Schutzrecht 
Soweit Software zum Lieferumfang gehört, wird diese dem Käufer allein zur Nutzung überlassen, d.h. er darf diese weder für andere kopieren, noch anderen zur Nutzung überlassen. Beim Verkauf von Software verweist die D&W GbR auf die Geschäftsbedingungen (z.B. Lizenzvertrag) des jeweiligen Softwareherstellers.


9. Gewährleistung
Die D&W GbR gewährleistet, dass von ihr gelieferte Hardware bzw. ausgeführte Leistungen nicht mit Mängeln, zu denen auch das Fehlen zugesicherter Eigenschaften gehört, behaftet sind. Jedes gelieferte Produkt ist unverzüglich nach Erhalt durch den Kunden zu untersuchen. Ein Gewährleistungsanspruch besteht nicht, wenn Beanstandungen der Lieferung und aller bei sorgfältiger Prüfung erkennbaren Mängel nicht innerhalb von acht (8) Tagen schriftlich bei der D&W GbR eingegangen sind. Das gleiche gilt für Beanstandungen versteckter Mängel, die nicht innerhalb von acht (8) Tagen nach Entdeckung schriftlich bei der D&W GbR eingegangen sind.
Der Gewährleistungsanspruch erlischt 24 Monate nach Rechnungsdatum. Längere Fristen, die für einzelne Produkte gelten können, werden dem Kunden schriftlich bekanntgegeben. 
Jede Gewährleistungsverpflichtung geht verloren, wenn an dem mangelhaften Produkt unsachgemäße Reparaturen oder sonstige Arbeiten durch den Kunden oder Dritte ausgeführt werden. 

Von der Gewährleistung ausgenommen sind Mängel oder Schäden, die zurückzuführen sind auf :
  • Brand, Blitzschlag, Explosion oder netzbedingte Überspannung
  • Feuchtigkeit, zu hoher Staubgehalt (FDD), zu niedrige Temperatur
  • falsche oder fehlerhafte Software oder Verarbeitungsdaten aller Art ( z.B. Viren )
  • unsachgemäße Installation von Software anderer Lieferanten 
  • unsachgemäßer Gebrauch, Bedienungsfehler und fahrlässiges Verhalten des Kunden
  • Betrieb mit falscher Stromart oder - Spannung, sowie Anschluss an ungeeigneten Stromquellen

Die Gewährleistung entfällt auch, wenn Seriennummern, Typen-Bezeichnungen, Herstellerbezeichnung oder ähnliche Kennzeichen entfernt oder unleserlich gemacht werden. 
Die D&W GbR leistet keine Gewähr für Verbrauchsmaterial wie Magnetbänder, Disketten, Papier, Farbbänder usw. 
Für Nachbesserungsarbeiten und Ersatzlieferungen besteht die gleiche Gewährleistung wie für die ursprünglich gelieferten Produkte, jedoch nur bis zum Ablauf der für diese geltenden ursprünglichen Gewährleistungsfrist. 
Schlägt die Beseitigung eines gewährleistungspflichtigen Mangels durch Nachbesserung oder Ersatzlieferung in angemessener Zeit fehl, so kann der Kunde hinsichtlich der mangelhaften Produkte vom Vertrag zurücktreten oder Herabsetzung des Kaufpreises verlangen. 
Erweist sich eine Mängelrüge als unberechtigt, d.h. der Kunde hätte dies bei Beachtung der von ihm zu erwartenden Sorgfalt erkennen können, so hat er der D&W GbR alle Aufwendungen zu ersetzen, die der D&W GbR durch die unberechtigte Rüge entstanden sind. 


10. Haftung
Abgesehen von der Haftung für zugesicherte Eigenschaften nach dem Produkthaftungsgesetz und der Haftung für die Verletzung wesentlicher Vertragspflichten, haftet die D&W GbR für Schäden des Kunden nur, soweit ihren gesetzlichen Vertretern, Mitarbeitern oder Beauftragten Vorsatz oder grobe Fahrlässigkeit zur Last fällt. Dies gilt für alle Schadensansprüche unabhängig davon, ob sie auf gesetzlichen Bestimmungen, unerlaubten Handlungen, vertraglichen Vereinbarungen oder auf einem sonstigen Rechtsgrund beruhen. 
Die D&W GbR haftet nicht dafür, dass ein von der D&W GbR geliefertes Produkt geändert, in unsachgemäßer Weise verwendet oder mit nicht von der D&W GbR gelieferten Produkten eingesetzt wird. 


11. Schlussbestimmung 
Der Kunde kann seine Rechte und Pflichten aus diesem Vertrag nur mit schriftlicher Zustimmung von der D&W GbR an Dritte übertragen. Der Kunde darf nur mit unstreitigen und rechtskräftig festgestellten Ansprüchen gegen die Ansprüche von der D&W GbR aufrechnen.
Es gilt das Recht der Bundesrepublik Deutschland. 
Der Gerichtsstand für alle aus den Vertragsverhältnis und seiner Entstehung sowie seiner Wirksamkeit entspringenden Rechtsstreitigkeiten, wird durch den Sitz des Lieferanten bestimmt.

We may need to share your personal information in the following situations:

  • When we use Google Maps Platform APIs. We may share your information with certain Google Maps Platform APIs (e.g. , Google Maps API, Places API). Google Maps uses GPS, Wi-Fi, and cell towers to estimate your location. GPS is accurate to about 20 meters, while Wi-Fi and cell towers help improve accuracy when GPS signals are weak, like indoors. This data helps Google Maps provide directions, but it is not always perfectly precise.

In Short:  We may use cookies and other tracking technologies to collect and store your information.

We may use cookies and similar tracking technologies (like web beacons and pixels) to gather information when you interact with our Services. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. Withdrawing your consent: If we are relying on your consent to process your personal information, you have the right to withdraw your consent at any time. You can withdraw your consent at any time by contacting us by using the contact details provided in the section " HOW CAN YOU CONTACT US ABOUT THIS NOTICE? " below .

However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.

10. CONTROLS FOR DO-NOT-TRACK FEATURES

Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track ( "DNT" ) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized . As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this Privacy Notice.

11. DO WE MAKE UPDATES TO THIS NOTICE?

In Short:  Yes, we will update this notice as necessary to stay compliant with relevant laws.

We may update this Privacy Notice from time to time. The updated version will be indicated by an updated "Revised" date at the top of this Privacy Notice.
